Introduction

Please read these Terms of Service (collectively with Somatic Living’s Privacy Policy, the “Terms of Service”) fully and carefully before using www.somaticliving.com (the “Site”) and the services, features, content, applications, memberships, and products offered by Somatic Living (“we”, “us”, or “our”) (together with the Site and the Application (as defined below), the “Services”).

These Terms of Service set forth the legally binding terms and conditions for your use of the Site and the Services and your purchase of memberships, classes, and products sold through the Services.

Acceptance of Terms of Service

By registering for and/or using the Services in any manner, including, but not limited to, visiting, browsing, creating an account, participating in classes, or making purchases through the Site or our mobile application (the “Application”), you agree to these Terms of Service and all other operating rules, policies and procedures that may be published from time to time on the Site or through the Services by us, each of which is incorporated by reference and may be updated from time to time.

If you do not accept these Terms of Service, you are not permitted to, and you must not, access or use the Services or purchase memberships or products from us.

We have a Privacy Policy that you should refer to in order to fully understand how we collect and use your information. The Privacy Policy is hereby incorporated by reference into these Terms of Service.

ARBITRATION NOTICE AND CLASS ACTION WAIVER:
EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE “DISPUTES” SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND SOMATIC LIVING WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Eligibility

You represent and warrant that you are at least 18 years of age, or if you are under 18 years of age but at least 13 years old, that you are using the Services with the consent of your parent or legal guardian and that your parent or guardian has agreed to these Terms of Service on your behalf.

The Services are offered only for your personal use and not for the use or benefit of any third party.

Wellness and Safety Disclaimer

Somatic Living provides educational and wellness-based Services including yoga, somatic movement, breathwork, mindfulness, and nervous system regulation practices. These Services are not medical treatment, physical therapy, psychotherapy, or a substitute for professional health care.

By participating in any class or using the Services, you acknowledge and agree:

  • You are solely responsible for your own body and wellbeing.

  • You will listen to your limits and modify or stop practices as needed.

  • You have consulted with a physician or qualified health provider before beginning any movement, somatic, or breath-based activity.

You understand and accept that participation involves inherent risks and that Somatic Living, its instructors, employees, or affiliates are not responsible for any injury, condition, or damages resulting from participation in or application of any content provided.

Registration

To access certain features of the Services, you must register for an account (“Account”). You must provide accurate and complete information and keep your Account information updated.

You are solely responsible for all activity under your Account and for maintaining the confidentiality of your password.

Content and Intellectual Property
Your Content

Somatic Living does not claim ownership of your submitted materials (“Your Content”). However, by submitting or sharing content through the Services, you grant Somatic Living a limited, worldwide, non-exclusive, royalty-free license to use, store, display, modify, reproduce, and distribute Your Content for the purpose of operating and improving the Services.

Ownership of Somatic Living Content

The Site, Application, and all content (including videos, class recordings, text, graphics, and logos) provided by Somatic Living (collectively, “Somatic Living Content”) are the exclusive property of Somatic Living and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Somatic Living Content solely for your personal, non-commercial use in connection with the Services. You may not copy, reproduce, distribute, modify, sell, or otherwise exploit any Somatic Living Content without our express written permission.

Rules of Conduct

As a condition of use, you agree not to use the Services for any purpose that is prohibited by these Terms of Service. You are responsible for all your activity in connection with the Services.

You shall not (and shall not permit any third party to) use the Services to:

  • Perform any illegal or fraudulent activity.

  • Harass, abuse, or threaten any other user.

  • Transmit or distribute viruses or other harmful computer code.

  • Attempt to gain unauthorized access to any portion of the Services or any other accounts, systems, or networks.

  • Use the Services for any commercial purpose without the express written consent of Somatic Living.

  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services or Somatic Living Content.

Third-Party Services

The Services may link to third-party websites, platforms, or resources. You acknowledge and agree that Somatic Living is not responsible for the content, accuracy, legality, or safety of third-party materials or any loss or damage caused by their use.

Accessing such third-party resources is at your own risk and subject to their respective terms of service and privacy policies.

Paid Services and Memberships

Certain of our Services are subject to payment (“Paid Services”), including memberships, class passes, or event registrations.

All purchases are final and non-transferable. By submitting an order, you agree to pay the listed fees. We use Payment Processors (like Stripe) to handle transactions, and you agree to their respective terms.

Billing and Refunds

All purchases are final and non-refundable unless otherwise required by law or explicitly stated by Somatic Living in writing. We do not offer partial refunds for unused portions of memberships, missed classes, or early cancellations.

If you believe a charge was made in error, please contact support@somaticliving.com within 14 days of the transaction.

Auto-Renewals and Recurring Billing

If you purchase a recurring membership or subscription plan (“Subscription Service”), you authorize Somatic Living to automatically charge your payment method at the start of each renewal period.

Unless canceled before the next billing date, your subscription will automatically renew. All payments are non-refundable, and no prorated refunds are provided for partial use or early termination.

Termination

We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, effective immediately.

If you wish to terminate your Account, you may do so through your Account settings or by contacting support@somaticliving.com.

All fees paid are non-refundable. All provisions of these Terms that by nature should survive termination (including warranty disclaimers, limitation of liability, and indemnification) shall remain in effect.

Warranty Disclaimer

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

WE DO NOT WARRANT THAT:

  1. THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;

  2. DEFECTS WILL BE CORRECTED; OR

  3. RESULTS OBTAINED THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Indemnification

You agree to defend, indemnify, and hold harmless Somatic Living, its owners, employees, instructors, affiliates, and contractors from any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys’ fees) arising from:

  • your use or misuse of the Services,

  • your violation of these Terms, or

  • your violation of any third-party rights.

You agree to promptly notify Somatic Living of any claim subject to indemnification.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOMATIC LIVING AND ITS DIRECTORS, EMPLOYEES, INSTRUCTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, DATA, OR GOODWILL, OR ANY INJURY OR HARM ARISING OUT OF YOUR PARTICIPATION IN ANY CLASS OR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRIOR TO THE CLAIM OR (B) $100.00.

Disputes and Arbitration

Any dispute arising under these Terms shall first be attempted to be resolved informally by contacting support@somaticliving.com.

If not resolved, disputes will be settled by binding individual arbitration under applicable commercial arbitration rules. You waive any right to participate in a class action or class arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. The exclusive jurisdiction and venue for any action shall be the state and federal courts located in New York County, New York.

Modifications

We may modify or replace these Terms of Service at any time. Your continued use of the Services following such changes constitutes acceptance of the new Terms.

Changes to Services

We may modify, suspend, or discontinue any part of the Services, including available classes, instructors, or features, at any time without notice or liability.
